Driver Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between iRide ("Company") and you ("Driver," "Contractor") upon your registration and acceptance of this Agreement on the iRide platform.

1. Independent Contractor Status

You are an independent contractor, not an employee, partner, or agent of iRide. You are solely responsible for your own taxes, insurance, vehicle maintenance, and compliance with all applicable laws. iRide does not control the manner or method by which you perform transportation services — only the result (safe, timely pickup and delivery of riders).

2. Requirements

To drive on the iRide platform, you must maintain at all times:

You must promptly notify iRide of any changes to your permit, insurance, or driving record status. Failure to maintain these requirements will result in immediate deactivation.

3. Accepting & Declining Rides

You are free to accept or decline any ride request. There is no minimum number of rides required. However, once you accept a ride, you are expected to complete it. Repeated cancellations after acceptance may result in account review or deactivation.

You are solely responsible for maintaining adequate commercial auto insurance. iRide does not provide insurance coverage for you, your vehicle, or your passengers. You agree to indemnify and hold harmless iRide from any claims, damages, or liabilities arising from your provision of transportation services.

7. Confidentiality

You agree to keep rider personal information (name, phone, email, addresses) confidential and use it only for the purpose of completing the booked ride. You may not contact riders for personal or commercial purposes outside of the iRide platform.

9. No Exclusivity

This Agreement is non-exclusive. You are free to provide transportation services through other platforms or independently. iRide does not restrict your ability to work with competitors.

10. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in San Mateo County, California, under the rules of the American Arbitration Association.

11. Modifications

iRide may update this Agreement with 14 days' notice via email. Continued use of the platform after the notice period constitutes acceptance. If you do not agree to the changes, you may deactivate your account.

12. Governing Law

This Agreement is governed by the laws of the State of California.
